1. About these Terms 

These Terms and Conditions (“Terms”) govern your use of the Model Rail Offers website (“Site”) and any order you place through it. 

This Site is owned operated H Bauer Publishing, with company number LP003328 and whose registered address is The Lantern, 75 Hampstead Road, London, NW1 2PL VAT no 918 5617 01 (“Bauer, “we” “us” and “our”) 

Please also read our privacy policy ("Privacy Policy") which explains how we will use any information about you that we receive, and our cookie policy which explains how we use cookies. The Privacy Policy and the Cookie Policy form part of these Terms. 

Additional terms may apply to services offered by us ("Additional Terms"). These Additional Terms will be set out at the point of access to the relevant service but also form part of these Terms to the extent that they are applicable. If there is any inconsistency between the Additional Terms for a particular service and the Terms of Use, the Additional Terms will take precedence to the extent that there is any inconsistency. 

The contract for the sale of products made available through this Site is with H Bauer Publishing.  

Please read these Terms carefully before using this Site or placing an order. By using this Site or placing an order, you agree to be bound by them. 

2. About You and Your Account 

To place an order through this Site, you must be at least 18 years old and legally capable of entering into a binding contract. 

You agree that all information you provide to us is accurate, current and complete, including your name, billing details, delivery details, email address and payment information. 

If you create an account, you are responsible for maintaining the confidentiality of your username and password (as applicable) and are fully responsible for all activities that occur through your website account. You agree to: 

(a) immediately notify us if you become aware of any unauthorised use of your password or website account or any other breach of security by sending an appropriately worded email to dataprotectionofficer@bauermedia.co.uk and  

(b) ensure that you exit your website account at the end of each session.  

We will not be liable for any loss or damage arising from your failure to comply with these obligations. 

You must not transfer, sell or assign your account to any other person. 

3. Our Products 

We make reasonable efforts to ensure that product descriptions, specifications, prices and availability information are accurate. 

Images are for illustrative purposes only. Although we try to display colours and finishes accurately, the actual appearance of a product may vary depending on your device and settings. 

All products are subject to availability. We may withdraw, discontinue or amend products at any time. 

Some products may be offered as pre-orders or advance orders. Where this applies, we will seek to make this clear on the relevant product page. 

We may limit the quantity of products supplied to any customer or delivery address where reasonably necessary, including to prevent fraud, abuse or unintended bulk purchasing. 

4. Orders and Contract Formation 

When you place an order through the Site, you are making an offer to purchase the relevant products from us. 

Following submission of your order, you will receive an acknowledgement email confirming that we have received it. This acknowledgement does not constitute acceptance of the order. 

A legally binding contract between you and us will only come into existence when we accept your order by sending you an order confirmation or dispatch confirmation email, or by dispatching the products to you, whichever occurs first. 

We decline to accept any order at our discretion, including where: 

  • a product is unavailable; 

  • there is an obvious error in pricing or description of the product; 

  • we cannot obtain payment authorisation; 

  • we reasonably suspect fraudulent activity, misuse breach of these Terms or other unlawful conduct; or 

  • fulfilment of the order is prevented by a technical or administrative error. 

If we cannot accept your order, we will notify you and refund any sums taken in respect of that order  

We sell products for private domestic use only. You must not purchase products for resale or commercial distribution unless we have expressly agreed otherwise in writing. We reserve the right to reject or cancel any order where we reasonably believe products are being purchased for resale without our prior written approval. 

Please check your order carefully before submitting it. If you need to change or cancel an order, contact us as soon as possible. We cannot guarantee that we will be able to amend or stop an order once it has been accepted or dispatched, but your legal cancellation rights and your rights under our Returns Policy are not affected. 

5. Prices, VAT and Payment 

The price payable for a product is the price shown on the Site at the time you submit your order. 

All prices displayed to UK consumers include VAT at the prevailing UK rate unless expressly stated otherwise. Delivery charges and any other additional charges will be shown separately before you place your order. 

We take reasonable care to ensure the prices displayed on the Site are correct. However, if we discover an obvious pricing error before acceptance of your order, we are not obliged to sell the product at the incorrect price and may cancel the order or contract you for instructions  

Should the VAT rate alter between the order date and dispatch, we will amend the VAT charged in accordance with legal requirements. 

We accept payment methods shown on the checkout page.  

Payment must be received in full and authorised before dispatch. By placing an order, you confirm that the payment method used is valid and that you are authorised to use it. 

If subscriber pricing or promotional pricing applies, any conditions for receiving that discount must be met at the time of order.

6. Delivery 

Any delivery dates or times provided are estimates only and are not guaranteed unless expressly agreed in writing.  

We will use reasonable endeavours to deliver products without undue delay and, in any event, within 30 days after the date after the contract is formed unless a longer period has been specifically agreed with you. 

We will not be liable for delay or failure to deliver to the extent caused by an event outside of our reasonable control, including carrier delays, supply chain disruption, acts of God, industrial action, system failure or inaccurate delivery information provide by you. 

If delivery is delayed by an event outside our control, we may extend the time for delivery by a period equivalent to the delay, provided that this does not affect any mandatory consumer rights you may have.  

Risk in the products passes to you on delivery. Title to the products passes only when we have received payment in full and cleared funds for those products.

7. Your Right to Cancel if You Change Your Mind 

If you are contracting as a consumer, you may have a legal right to cancel your order within 14 days after the day on which you, or a person identified by you, acquires physical possession of the products.  

To exercise your right to cancel, you must notify us of your decision by a clear statement before the cancellation period expires. 

If you exercise your right to cancel: 

  • you must return the goods to us without undue delay and in any event no later than 14 days after informing us of your decision to cancel; 

  • unless the goods are faulty, not described or we agree otherwise, you are responsible for the direct cost of returning the goods; and 

  • we may make a deduction from any refund for loss in value resulting from handling of the goods beyond what is necessary to establish their nature, characteristics and functioning. 

Nothing in this clause affects any cancellation or refund rights that cannot lawfully be excluded. 

8. Faulty, Damaged or Misdescribed Goods 

Nothing in these Terms affects your statutory rights as a consumer. 

If products supplied by us are faulty, damaged or not as described, you may be entitled to a repair, replacement, price reduction or refund in accordance with applicable law.  

You must give us a reasonable opportunity to inspect the relevant goods and, where reasonably requested, return them to us in accordance with our instructions before any remedy is provided. 

We will bear the reasonable cost of return where required by law. 

9. Returns Process 

Details of how to return goods are set out in our Returns Policy. 

Where we provide a returns portal or tracked return service, we recommend that you use it so that your return can be tracked. 

You should include sufficient information to allow us to identify your order and the reason for return. 

10. Promotions, Discounts and Subscriber Offers 

From time to time, we may offer discounts, promotional codes, subscriber offers or other promotions. 

Any such offer is subject to these Terms together with any specific promotional terms notified with the offer. 

We reserve the right to withdraw, amend or refuse a promotion where we reasonably believe it has been used improperly, fraudulently or contrary to its terms. 

11. Website Content and Intellectual Property 

Unless otherwise stated, the content of our Site (including without limitation, software, graphics, text, data, images, designs, compilations, databases, targeting information, interactive features, advertisements, and the trademarks, logos, domain names, trade names, service marks, trade identities, any and all copyright material (including source and object code), and all other materials related to our Site) (the "Content") is protected by applicable copyrights, trademark rights, database rights and other proprietary rights. Bauer (and/or our licensors) own the Content.  

The use of any automated system or software to extract Content (in whole or in part) from our Site ("screen scraping") for commercial or non-commercial purposes is prohibited unless express written agreement has been provided by us. This includes the development of any software program, including, but not limited to, training a machine learning or artificial intelligence (AI) system, as well as providing archived or cached data sets containing Content to another person or entity. 

Nothing in these Terms grants you a right or licence to use the Content except as expressly provided in these Terms. 

All content on this Site, including text, graphics, logos, images, audio, video, product data, layout and software, is owned by or licensed to us, our affiliates, licensors or relevant third parties and is protected by intellectual property laws. 

12. THIRD-PARTY LINKS  

Parts of our Site may also contain hyperlinks to Sites and resources owned and operated by third parties. These third-party websites and resources have their own terms of use and privacy policies which you should comply with. We have no control over third party websites or resources and we are not responsible for the availability of such websites and resources. We do not accept any responsibility or liability for any third-party websites or resources and your access and use of such services and content is at your own risk. 

Third party links are provided to you for convenience only and do not imply that Bauer endorses, is affiliated or associated with any such website, or is legally authorised to use any intellectual property accessible through such links. 

13. SHOPIFY AND PLATFORM SERVICES  

This store is powered by Shopify, which provides the ecommerce platform we use to operate the Site. To view their Privacy Policy please click here 

All contracts for the purchase of products through this Site are established between the customer and H Bauer Publishing, with Shopify acting solely as a platform provider and not as a contracting party. Kernow Model Rail Centre exclusively manages fulfilment and order processing on our behalf and does not serve as the selling entity under any contract. 

If fulfilment is handled by Kernow Model Rail Centre, returns or delivery communications may also be handled by Kernow on our behalf where appropriate. 

To the extent permitted by applicable law, Shopify assumes no responsibility for the sale, provision, delivery, return, or refund of products purchased from us. 

Select services—including payment processing, hosting, analytics, fraud prevention, and checkout functionality—may be facilitated by Shopify or other designated third-party service providers. 

14. REVIEWS, FEEDBACK AND USER CONTENT 

"User Content" means material (including without limitation text, images, clips, videos, comments, posts and any underlying material) uploaded, shared or submitted to our Site by any user. 

Whenever you upload User Content to our Site, or make contact with other users of our Site, you must comply with our Rules of Acceptable Use, set out in section 14 of these Terms below. You warrant that any such contribution complies with those rules and standards, and you indemnify us for any breach of that warranty. 

You shall remain the owner of the copyright in any original User Content that you upload, share or submit using our site. The permission you grant to us below is not exclusive. You may continue to use your own User Content in any way, including allowing others to use or exploit it, provided that such use does not interfere with or impair the rights you have granted to us in these Terms of Use, of them. 

With respect to User Content that you upload, share or submit to our Site, you grant us a worldwide, royalty-free, perpetual, irrevocable, non-exclusive and fully sub-licensable right and licence to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform and display that content and/or to incorporate it in other works in any form or media (whether now known or invented in the future, which may include other internet sites,) and you acknowledge and accept that your User Content may be used for advertising and/or sponsorship. 

You shall remain the owner of the copyright in any original User Content that you upload, share or submit using our Site. You may continue to use your own User Content in any way you choose, including allowing others to use or exploit it, provided that such use does not interfere with or impair the rights you have granted to us under these Terms. 

You agree to waive any moral or similar rights in any jurisdiction that you may have in and to any of the User Content you upload, share or submit, even if the User Content is modified, altered or changed in a way which is not agreeable to you. 

When you upload, share or submit User Content via our Site you accept that you are making your it available to the general public. This means that both non-registered and registered users may be able to view and access your User Content. Please do not upload your User Content if you do not want it to be available to the general public. 

You are solely responsible for securing and backing up your content. 

You warrant to us that: 

i. User Content you upload, share or submit to the Site is your own original work and you own the entire right, title and interest in and to the User Content and/or you have all necessary licences, rights, consents and permissions to use, and to authorise us to use the User Content as contemplated by these Terms of Use; 

ii. no further payments, monies, fees or royalties are or shall become due to any third parties relating to, arising out of, or in connection with our exploitation of your User Content in the manner contemplated by these Terms of Use; 

iii. your use of the Site complies with the Rules of Acceptable Use set out in section 14 of these Terms of Use below; and 

iv. your User Content (in whole or in part) does not defame any third parties or infringe upon the copyright or other intellectual property rights, or rights of privacy of any third parties. 

We have the right to disclose your identity to any third party who is claiming that any content posted or uploaded by you to our site constitutes a violation of their intellectual property rights, or of their right to privacy. 

This Site may include information and materials uploaded by other users of the site. This information and these materials have not been verified or approved by us. The views expressed by other users on our site do not represent our views or values. If you wish to complain about content uploaded by other users please contact us on complaints@bauermedia.co.uk. 

Bauer accepts no responsibility for any statements, material (including User Content) or other submissions placed on our Site by you or any third party user, or for any loss or damage resulting from your breach of the above Rules of Acceptable Use. 

We do not monitor the submission or publication of User Content or users' use of our Site. 

We reserve the right to edit or remove any material including User Content uploaded, shared or submitted using our Site, for any reason whatsoever. 

If you submit reviews, comments, suggestions or other content to us, you confirm that: 

15. RULES OF ACCEPTABLE USE  

Use of our Site that is inconsistent with the following Rules of Acceptable Use is strictly prohibited. By your use our Site and/or Radio Player, you are deemed to accept our Rules of Acceptable Use. 

1. Key Rules 

Your use of our Site is subject to the following (non-exhaustive list of) key rules. You must not: 

• Use our Site and/or Radio Player for any illegal or unlawful purpose (you must comply with these Terms and with all applicable laws and regulations at all times); 

• Use our Site for any purpose other than your own private or domestic purpose; 

• Use our Site to solicit information from anyone under the age of 18; 

• Alter, adapt, modify, copy or create a derivative work from our Content. 

16. Suspension and Termination 

We may suspend, restrict or terminate your access to the website or your account where we reasonably believe that: 

  • you have breached these Terms; 

  • your use is fraudulent, unlawful or harmful; or 

  • suspension is necessary to protect us, other users or the website. 

Termination of Site access will not affect any rights or obligations that have already arisen under a contract for the sale of goods. 

16. LIABILITY  

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability which cannot lawfully be excluded or limited. 

Subject to the foregoing, and to the fullest extent permitted by law: 

  • the Site and all content, information and services made available through it are provided on an "as is" and "as available" basis; 

  • we exclude all warranties, representations, conditions and other terms that may otherwise be implied by statute, common law or equity; and 

  • we shall not be liable for any indirect, incidental, special or consequential loss, or for any loss of profit, revenue, business, opportunity, goodwill, anticipated savings or data. 

Subject always to your statutory consumer rights, our total aggregate liability to you arising out of or in connection with any order for products shall not exceed the total amount paid by you for the relevant products. 

Nothing in these Terms affects your mandatory rights in relation to products that are not of satisfactory quality, fit for purpose or as described. 

17. EVENTS OUTSIDE OUR CONTROL 

we shall not be liable for any delay or failure to perform our obligations under these Terms where such delay or failure results from events beyond our reasonable control, including acts of God, flood, fire, storm, pandemic, epidemic, war, civil unrest, industrial dispute, interruption to transport networks, supplier failure, utility outage or telecommunications or systems failure. 

Where such circumstances arise, the time for performance shall be extended for the duration of the relevant event and we will take reasonable steps to mitigate the effect of the delay. 

18. SEVERABILITY 

If any term of these Terms of Use is held to be unlawful and/or unenforceable, it shall be severed and deleted from these Terms of Use and the remainder of these Terms of Use shall remain valid and enforceable. 

19. EXCLUSION OF THIRD PARTY RIGHTS 

These Terms of Use are not intended to benefit or be enforceable by any third party and the Contracts (Rights of Third Parties) Act 1999 shall not apply to them. 

20. ENTIRE AGREEMENT 

These Terms of Use, together with our Privacy Policy, Competition Terms and any Additional Terms, constitute the entire agreement between you and us in relation to your use of our Site and/or Radio Player and supersede all previous agreements in respect of such use. 

21. CHANGES TO THE TERMS 

We may amend these Terms from time to time to reflect changes in law, regulation, our business practices, our products, our services or the functionality of the Site. 

Any changes will take effect when posted on the Site. The Terms in force at the time you place an order will apply to that order. 

22. LAW AND JURISDICTION 

These Terms of Use are governed by English law, and any disputes will be subject to the exclusive jurisdiction of the English courts.
